This Program License Agreement ("License") is the licence Horanadu Corporation Pvt. Ltd. ("Mayantar", the "Company", "we", "us") grants you to install, access and use the Mayantar application, website, software development kit and application-programming interfaces, together with their underlying models, code, design and documentation (collectively, the "Program"). It is written to give you a clear, generous right to use Mayantar for exactly what you signed up for, while keeping the small set of protections we need to keep building the Program for everyone.

This License governs the Program itself — the software you use. Our Terms & Conditions govern your account and the Service more broadly (fees, your content, your generated audio, consent obligations and dispute resolution), our Privacy Policy explains how we handle your data, and our Acceptable Use Policy sets out what you may not do with the Program. All four documents are incorporated by reference into one another and should be read together; where this License is silent, the Terms & Conditions apply. By ticking the acceptance checkbox at sign-up, agreeing in the pop-up shown when you create an account, or by installing or using the Program, you accept this License.

• "Program" means the Mayantar application(s), website, SDKs, APIs, voice and speech models, and any Updates to them, together with accompanying documentation.
• "Updates" means any patch, upgrade, new version, new model, new feature or replacement of the Program that we may release from time to time.
• "Your Content" and "Output" have the meanings given to them in the Terms & Conditions — broadly, what you submit to the Program and the audio it generates for you.
• "you" means the individual or organisation accepting this License in accordance with Section 1.

Subject to your compliance with this License, the Terms & Conditions and the Acceptable Use Policy (including timely payment of any applicable fees), we grant you a personal, worldwide, non-exclusive, non-transferable, non-sublicensable and revocable licence to install and use the Program, for the duration of your account, strictly for its intended purpose: generating synthetic speech and voice clones for your own lawful personal or business use, at the tier and usage allowance attached to your plan.

• This licence is generous by design — it covers personal projects, client and commercial work, and internal business use, without any per-seat or per-project fee beyond your plan.
• It does not transfer any ownership of the Program to you; you receive only the rights expressly stated in this License.
• If you use the Program through an organisational or team plan, we may grant a corresponding licence to your organisation and its authorised users on the same terms, as described at checkout or in a separate order form.
• Nothing in this License restricts the rights you are separately given over Your Content and Output under Section 7 and Section 8 of the Terms & Conditions — this License is about your right to use our software, not about who owns what you create with it.

To keep the Program secure, fair and sustainable for everyone, the licence in Section 3 does not permit you to:

• copy, modify, translate or create derivative works of the Program, except to the limited extent that applicable law makes this restriction unenforceable;
• reverse-engineer, decompile, disassemble or otherwise attempt to derive the source code, model weights, training data or underlying algorithms of the Program;
• use the Program, Output or Your Content to train, fine-tune, distil or benchmark a competing voice, speech or text-to-speech model or service;
• rent, lease, resell, sublicense, distribute or provide the Program to a third party as a stand-alone or white-labelled product, except through an API or reseller arrangement we agree with you in writing;
• circumvent usage limits, rate limits, quotas, moderation checks, watermarking or other technical protection measures built into the Program;
• access the Program by automated means not expressly permitted by our published API documentation, or use it to build a tool whose primary purpose is to replicate the Program;
• remove, obscure or alter any proprietary notice, trademark or attribution appearing in or on the Program.

We built this licence to protect your work, not to take it from you:

• Your Content — the recordings, scripts and prompts you provide — remains yours. We do not take any ownership interest in it by virtue of this License.
• Output you generate is yours to use commercially and personally, on the terms set out in Section 8 of the Terms & Conditions.
• We do not use your voice recordings to create voices for other users, and we do not train our general models on your Voice Clones or Output without your separate, explicit opt-in, as described in our Privacy Policy.
• This licence to use our Program is granted to help you create — it is never a back door for us to claim rights over what you create.

Just as your work stays yours, ours stays ours. The Program — including its software, source code, object code, models, model weights, training methodology, algorithms, user interface, design, documentation and trademarks (including "Mayantar" and our logos) — is owned by the Company or its licensors and is protected by copyright, trade-secret and other intellectual-property laws worldwide. Except for the licence expressly granted in Section 3, no rights, title or interest in the Program are transferred to you, and all rights not expressly granted are reserved by the Company.

• We actively develop the Program — expect regular Updates that improve quality, add languages and voices, and strengthen safety. Updates are covered by this License unless accompanied by separate terms.
• We may deliver Updates automatically, and may require you to update to continue using the Program where an older version can no longer be safely or reliably supported.
• We may add, change, deprecate or retire specific models, voices, features, free-tier allowances or quality tiers as the Program evolves. We will give you reasonable notice before retiring a feature you actively rely on, where practical.
• Beta, preview or experimental features are licensed to you on an "as is" basis for evaluation, may change materially or be withdrawn at any time, and may be excluded from the support and availability expectations described in Section 8.

We want the Program to be there when you need it. We operate monitoring, backups and a support channel appropriate to your plan, and we work to keep the Program available and performant. That said, the Program is a hosted, machine-learning-driven service, and — as set out fully in the Terms & Conditions — we cannot promise uninterrupted or error-free operation, and this License does not create any additional service-level commitment beyond what your plan expressly states.

The Program may include or interoperate with open-source and other third-party software components, each governed by its own licence. Those licences are not overridden by this License; where a third-party licence gives you rights broader than this License with respect to that specific component, that licence controls solely for that component. A list of material third-party components and their licences is available on request at the contact address in Section 15.

• This License takes effect when you accept it and continues for as long as you maintain an account in good standing and comply with its terms.
• You may end this License at any time by ceasing to use the Program and deleting your account.
• We may suspend or terminate this License, in whole or in part, if you materially breach this License, the Terms & Conditions or the Acceptable Use Policy and, where the breach is capable of being cured, you fail to cure it after reasonable notice; or immediately, without notice, in the circumstances described in the Terms & Conditions (for example, credible reports of non-consensual cloning, fraud or imminent harm).
• On termination, the licence in Section 3 ends immediately and you must stop using the Program. Sections 4, 5, 6, 11, 12, 13 and 14 survive termination, along with any provision of the Terms & Conditions stated to survive.
• Termination of this License does not by itself delete Your Content or Output; deletion follows the retention and deletion rules in our Privacy Policy.

WE ARE PROUD OF THE PROGRAM AND WORK CONTINUOUSLY TO IMPROVE IT, BUT — TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW — THE PROGRAM IS LICENSED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. THIS SECTION SUPPLEMENTS, AND DOES NOT REPLACE, THE FULLER DISCLAIMER IN THE TERMS & CONDITIONS, WHICH ALSO APPLIES TO THE PROGRAM.

Our liability arising from or relating to this License is governed by, and subject to the same limits and exclusions as, the Limitation of Liability and Indemnification sections of the Terms & Conditions, which apply to this License as if set out here in full.

You may not use, export or re-export the Program in violation of any applicable export-control, sanctions or trade-compliance law, and you represent that you are not located in, or ordinarily resident in, a country or region subject to a comprehensive embargo, and are not on any restricted-party list, under applicable law.

This License is governed by the laws of India and is subject to the same dispute-resolution process (good-faith negotiation, followed by arbitration seated in Lucknow, India) set out in the Terms & Conditions, which apply to this License as if set out here in full.

This License, the Terms & Conditions, the Privacy Policy and the Acceptable Use Policy together form the entire agreement between you and us regarding the Program and the Service, and supersede any prior agreement on that subject. If there is a direct conflict between this License and the Terms & Conditions on a matter both address, the Terms & Conditions control; on matters specific to your right to use the Program as software, this License controls.

We may update this License from time to time as the Program evolves. If we make material changes, we will notify you (for example, by e-mail or an in-app notice) before they take effect.
